The 2025 Annual General Meeting (AGM) of Australian Mutual Bank Ltd (AMBL) will be held:
On: Wednesday, 26 November 2025 at 4.30pm (AEDT)
At: PARKROYAL Darling Harbour, 150 Day Street, Sydney, or online via https://amb.verovoting.com.au
The AGM will be held as both an in person and online meeting in order that as many members as possible can attend by the method that best suits them.
Members can participate in the AGM in the following ways:

Attend the AGM in person at the PARKROYAL Darling Harbour

Watch the live stream of the AGM via https://amb.verovoting.com.au

Vote in person or online during the AGM, if required

Ask questions in person at the AGM or submit questions online prior to or during the AGM.
At the conclusion of the formal proceedings of the AGM, members will be invited to participate in a Q&A session about the proposed merger with Teachers Mutual Bank Limited.
If attending the meeting in person:
The hotel is situated a seven minute walk from Town Hall Railway Station via Bathurst Street. Paid parking is also available at nearby parking stations.
Refreshments will be available prior to and following the meeting.
Members can register their intentions using the online portal (below) or by notifying the Bank’s contact centre on 13 61 91. The online portal will be open to register AGM attendance and lodge questions from 21 October 2025. In person registration at the venue will open from 3.30pm on the day.
If attending the meeting online:
To facilitate the meeting process Vero Voting has been engaged. Members should use their member number and unique PIN (which will be provided to each member via email or post) to register online attendance and to lodge questions from 21 October 2025. The same log in details (member number and unique PIN) will be used to attend the AGM online on 26 November 2025.
There are no resolutions proposed for the AGM and therefore no Appointment of Proxy form has been provided.
Item 4 on the agenda is the Appointment of Directors. In accordance with the Constitution no election is required to take place and no resolution is required – please refer to the AGM Notice of Meeting for further details. The total director’s remuneration pool (including superannuation) is the amount which can be allocated among the Bank’s six Member Elected Directors. The Bank’s directors determined that no increase to this amount was sought at the 2024 AGM. Directors have again determined that no increase to remuneration will be sought at the 2025 AGM. As a result, no resolution is required.
In the unlikely event that voting is required, members will be able to vote in person at the physical meeting or vote online using the Vero Voting AGM portal.
